9.3 Sur
vival
This Section 9 shall survive any expiration or other
termination hereof.
10. Trademarks and Other Markings
Buyer shall remove any and all of ASSA’s trademarks,
labels, distinctive markings, and designs which may
appear on any Product or on the packaging material
therefore at the time of delivery of such Product and
to refrain from making any use of such trademarks,
labels, distinctive markings and designs.
11. Miscellaneous
11.1 Governing Law
The validity and interpretation of these terms and
conditions of sale shall be governed by the laws of the
State of Connecticut without regard to its principles of
conflicts of law.
11.2 Force Majeure
ASSA shall not be liable for its failure to perform here-
under due to any contingency beyond its reasonable
control, including without limitation acts of God, fires,
floods, wars, sabotage, accidents, labor disputes or
shortages, governmental laws, ordinances, rules and
regulations, whether valid or invalid (including, but
not limited to, priorities, requisitions, allocations,
and price adjustment restrictions), inability to obtain
material, equipment or transportation, and any other
similar contingency
. In the event of delay due to any
such cause, the date of delivery will be postponed by
such length of time as may be reasonably necessary to
compensate for the delay.
11.3. No Assignment
These terms and conditions of sale are not assignable
or transferable by Buyer
, in whole or in par
t, without
the prior written consent of ASSA.
11.4 Modification
No modification or waiver of these ter
ms and
conditions of sale shall be effective unless made in a
writing signed by ASSA. No course of action shall be
deemed to modify these ter
ms and conditions of sale.
11.5 Severability.
Whenever possible each pr
ovision and ter
m of these
ter
ms and conditions of sale will be interpr
eted in a
manner to be effective and valid but if any provision or
ter
m her
eof is held to be pr
ohibited by law or invalid,
then such pr
ovision or term will be ineffective only to
the extent of such prohibition or invalidity, without
invalidating or affecting in any manner whatsoever the
remainder of such provision or term or the remaining
provisions or terms hereof.
